Shard Shared Source License Agreement

This Shard Shared Source License Agreement (the "Agreement") is entered into between The Modding Foundation, a North Carolina nonprofit corporation doing business as HytaleModding ("HytaleModding," "we," "our," or "us"), and the individual or legal entity accepting this Agreement ("you" or "your").

This Agreement establishes the terms governing access to, use of, and participation in the Shard Shared Source Program.

1. Purpose

1.1 Shared Source Program

Shard is a collaborative server implementation developed by HytaleModding. In order to encourage community participation while protecting confidential source code, intellectual property, and third-party rights, HytaleModding makes portions of the Shard source code available through a restricted shared source program.

This Agreement defines the rights and obligations of every participant in that program.

1.2 Scope

This Agreement governs your access to and use of all repositories, source code, documentation, build artifacts, configuration files, examples, and other materials designated by HytaleModding as part of the Shared Source Program.

Nothing in this Agreement grants rights to any software, assets, or intellectual property that HytaleModding is not authorized to license.

1.3 Separate Agreements

This Agreement governs only the Shared Source Program.

Other agreements, including Contributor License Agreements, community guidelines, repository policies, acceptable use policies, codes of conduct, and project governance documents may also apply to your participation. In the event of any conflict, this Agreement governs solely with respect to access to the Shared Source Program unless another agreement expressly states otherwise.

2. Acceptance

2.1 Agreement

You accept this Agreement by:

  • accessing any Shared Source repository;
  • cloning or downloading any portion of the Work;
  • viewing the source code;
  • submitting a Contribution;
  • accepting this Agreement electronically; or
  • otherwise exercising any rights granted under this Agreement.

If you do not agree to every provision of this Agreement, you may not access or use the Work.

2.2 Authority

If you accept this Agreement on behalf of a company, organization, educational institution, government entity, or other legal person, you represent and warrant that you possess the authority to bind that entity to this Agreement.

References to "you" include both the individual accepting this Agreement and the legal entity represented by that individual.

2.3 Eligibility

Access to the Shared Source Program is available only to Authorized Users approved by HytaleModding.

Approval may be granted, suspended, denied, or revoked at HytaleModding's sole discretion.

Participation in the Shared Source Program is a privilege and does not create any contractual entitlement to continued access.

2.4 Amendments

HytaleModding may revise this Agreement from time to time.

Material revisions become effective upon the date specified by HytaleModding.

Your continued participation in the Shared Source Program following the effective date of a revised Agreement constitutes acceptance of the revised terms.

If you do not agree to a revision, you must immediately cease accessing the Work and comply with the termination provisions of this Agreement.

3. Interpretation

3.1 Headings

Section titles and headings are included solely for convenience and shall not affect interpretation.

3.2 Singular and Plural

Words expressed in the singular include the plural and vice versa where the context reasonably requires.

3.3 Including

The words "including," "includes," and similar expressions mean "including without limitation."

3.4 Person

"Person" includes any natural person, corporation, nonprofit organization, partnership, limited liability company, association, governmental body, trust, educational institution, or other legal entity.

3.5 Writing

References to writing include electronic communications unless expressly prohibited by applicable law.

4. Definitions

For purposes of this Agreement, the following definitions apply.

4.1 Authorized User

An individual or legal entity that has been granted access to the Shared Source Program by HytaleModding and whose access has not been revoked.

4.2 Contribution

Any work submitted to HytaleModding for inclusion in the Work, including but not limited to:

  • source code;
  • documentation;
  • examples;
  • build scripts;
  • configuration;
  • tests;
  • assets;
  • patches;
  • bug fixes;
  • issue reports;
  • pull requests;
  • comments attached to pull requests or code reviews;
  • technical designs;
  • proposals;
  • specifications; or
  • any other material submitted through any communication channel designated by HytaleModding.

A submission clearly identified as "Not a Contribution" before submission shall not be considered a Contribution unless HytaleModding expressly agrees otherwise.

4.3 Contributor License Agreement

Any Contributor License Agreement, Contributor Assignment Agreement, or similar written agreement governing ownership or licensing of Contributions submitted to HytaleModding.

4.4 Intellectual Property Rights

All present and future rights arising under copyright, patent, trademark, trade secret, database rights, design rights, mask works, moral rights, confidential information, know-how, and all similar proprietary rights recognized anywhere in the world, together with all applications, registrations, renewals, extensions, continuations, divisions, and reissues thereof.

4.5 Repository

Any source code repository, package repository, document repository, artifact repository, or other storage location designated by HytaleModding for distribution of the Work.

4.6 Shared Source Program

The restricted-access program established by HytaleModding for distributing the Work to Authorized Users under this Agreement.

4.7 Work

The software and related materials distributed through the Shared Source Program, including:

  • source code;
  • documentation;
  • APIs;
  • interfaces;
  • build systems;
  • configuration files;
  • examples;
  • tests;
  • debugging tools;
  • scripts;
  • generated source;
  • protocol definitions;
  • schemas;
  • project metadata;
  • design documents;
  • and any modifications, updates, or replacements made available by HytaleModding.

The Work does not include software or materials intentionally released by HytaleModding under another license.

4.8 Your Original Works

Software, documentation, tools, plugins, extensions, libraries, utilities, or other original works created by you that do not incorporate or disclose protected portions of the Work except as expressly permitted by this Agreement.

4.9 Third-Party Materials

Any software, documentation, assets, or other intellectual property owned by a person or entity other than HytaleModding or you.

4.10 Hypixel Materials

Certain portions of the Work may consist of, incorporate, reference, or otherwise contain software, source code, interfaces, documentation, protocols, or other intellectual property owned by Hypixel Studios Canada Inc. or its licensors ("Hypixel Materials").

Ownership of all Hypixel Materials remains exclusively with their respective owners.

Nothing in this Agreement transfers ownership of Hypixel Materials, grants rights beyond those HytaleModding is authorized to grant, or limits the rights of Hypixel Studios Canada Inc. or its licensors.

If any provision of this Agreement conflicts with rights held by the owner of any Hypixel Materials, the rights of that owner shall control solely with respect to those Hypixel Materials.

5. License Grant

5.1 Grant of Rights

Subject to your continued compliance with this Agreement, HytaleModding grants you a limited, worldwide, non-exclusive, revocable, non-transferable, non-sublicensable, royalty-free license to access and use the Work solely for the purposes expressly permitted by this Agreement.

The rights granted under this Agreement exist only for the duration of your authorization to participate in the Shared Source Program and automatically terminate in accordance with this Agreement.

5.2 Permitted Activities

Subject to the restrictions contained herein, you may:

(a) access the Work through Repositories designated by HytaleModding;

(b) reproduce the Work as reasonably necessary to clone, download, build, execute, debug, test, review, or evaluate the Work;

(c) modify the Work for the purpose of developing, testing, evaluating, or improving Shard;

(d) develop plugins, modules, extensions, integrations, tools, SDKs, utilities, testing frameworks, documentation, or other software designed to interoperate with Shard;

(e) create local branches and private forks where authorized by HytaleModding;

(f) prepare and submit Contributions;

(g) maintain temporary and archival copies of the Work solely as reasonably necessary for development activities authorized under this Agreement; and

(h) perform any other activity expressly authorized in writing by HytaleModding.

5.3 Scope of License

The rights granted by this Agreement are copyright licenses only.

Except where expressly provided, no patent license, trademark license, trade secret license, publicity right, or any other intellectual property license is granted by implication, estoppel, exhaustion, or otherwise.

5.4 Revocable License

The license granted under this Agreement is conditional.

Failure to comply with any provision of this Agreement immediately terminates the rights granted herein without further action by HytaleModding.

5.5 Reservation of Rights

All rights not expressly granted under this Agreement are reserved by HytaleModding and the applicable rights holders.

No implied licenses shall be construed from this Agreement.

6. License Conditions and Restrictions

6.1 General Conditions

The rights granted by Section 5 may be exercised only while:

(a) you remain an Authorized User;

(b) you comply with this Agreement;

(c) you comply with all applicable laws; and

(d) your repository access remains active.

6.2 No Redistribution

Except where expressly authorized by HytaleModding, you shall not:

(a) publish the Work;

(b) redistribute the Work;

(c) sublicense the Work;

(d) sell, rent, lease, assign, license, or otherwise commercialize the Work;

(e) distribute repository snapshots or archives;

(f) mirror any Repository;

(g) upload the Work to package registries or public hosting services;

(h) disclose the Work to any unauthorized person.

6.3 Competitive Use

You shall not use any substantial portion of the Work for the purpose of developing, operating, distributing, or assisting in the development of:

(a) an independent server implementation derived from the Work;

(b) a competing framework;

(c) a competing SDK;

(d) a competing protocol implementation;

(e) a competing networking library;

(f) any software project substantially derived from the Work that is not developed for or on behalf of the Shard Project;

unless expressly authorized in writing by HytaleModding.

Nothing in this Section prohibits the development of plugins, extensions, tooling, documentation, or software intended to interoperate with Shard.

6.4 No Circumvention

You shall not circumvent, disable, interfere with, or attempt to bypass authentication mechanisms, access controls, repository permissions, or security measures protecting the Shared Source Program.

6.5 Reverse Engineering

Except where prohibited by applicable law, you shall not reverse engineer any proprietary binary, tooling, or component distributed with the Work where corresponding source code has not been provided.

6.6 Automated Collection

You shall not use automated systems to collect, archive, index, mirror, or republish the Work except as reasonably necessary for legitimate development activities.

6.7 Public Disclosure

You shall not publicly disclose:

(a) confidential implementation details;

(b) source code;

(c) architectural documentation;

(d) internal design documents;

(e) unreleased features;

(f) repository contents;

except where expressly authorized by HytaleModding.

6.8 Compliance with Repository Policies

You shall comply with all repository rules, contribution guidelines, security policies, coding standards, and project governance documents published by HytaleModding.

Failure to comply with such policies may result in suspension or termination of repository access.

7. Ownership

7.1 Ownership of the Work

The Work, together with all Intellectual Property Rights therein, is and shall remain the exclusive property of HytaleModding or its licensors.

Except for the limited license granted under Section 5, no ownership or other proprietary interest is transferred under this Agreement.

All rights not expressly granted are reserved.

7.2 Ownership of Your Original Works

Subject to Sections 7.3 through 7.6 and any applicable Contributor License Agreement, you retain ownership of Your Original Works.

Nothing in this Agreement transfers ownership of software or documentation independently created by you that does not incorporate protected portions of the Work.

7.3 Hypixel Materials

Certain portions of the Work consist of, incorporate, reference, or derive from Hypixel Materials.

Ownership of all Hypixel Materials remains exclusively with Hypixel Studios Canada Inc. and its licensors.

HytaleModding claims no ownership over Hypixel Materials except to the extent HytaleModding possesses rights necessary to distribute such materials under the Shared Source Program.

This Agreement grants no rights in Hypixel Materials beyond those HytaleModding is legally authorized to grant.

7.4 Separation of Rights

Where the Work contains both HytaleModding-owned material and Hypixel Materials, each owner retains ownership of their respective intellectual property.

No modification, Contribution, merge, compilation, refactoring, or combination of code shall be interpreted as transferring ownership between HytaleModding and Hypixel Studios Canada Inc.

7.5 Derivative Works

Except where ownership is otherwise governed by an applicable Contributor License Agreement, ownership of derivative works shall follow applicable copyright law.

Nothing in this Section grants ownership of any underlying portion of the Work or any Hypixel Materials incorporated therein.

7.6 Reservation

Except for the rights expressly granted by this Agreement, all Intellectual Property Rights remain reserved by their respective owners.

8. Repository Access

8.1 Access to the Shared Source Program

Access to the Work is provided solely through Repositories designated by HytaleModding.

No person acquires any right to access the Work merely by requesting access, creating an account, contributing to HytaleModding projects, or otherwise participating in the community.

Repository access is granted solely at HytaleModding's discretion.

8.2 Eligibility

To receive or maintain repository access, you must:

(a) accept this Agreement;

(b) satisfy any eligibility requirements established by HytaleModding;

(c) maintain any accounts required by HytaleModding to authenticate repository access;

(d) comply with all repository policies and project governance requirements; and

(e) remain an Authorized User.

HytaleModding may establish additional eligibility requirements from time to time.

8.3 Authentication

Repository access may require authentication through GitHub or any other identity provider designated by HytaleModding.

You are responsible for maintaining the security of every account used to access the Shared Source Program.

8.4 Account Security

You shall:

(a) maintain the confidentiality of your authentication credentials;

(b) implement reasonable security measures to protect your accounts;

(c) immediately notify HytaleModding if you believe your credentials have been compromised; and

(d) remain responsible for all activity performed using your credentials until HytaleModding has been notified of unauthorized access.

8.5 Suspension and Revocation

HytaleModding may suspend, restrict, revoke, or permanently terminate your repository access at any time, with or without notice, where HytaleModding reasonably believes that:

(a) you have violated this Agreement;

(b) continued access presents a security risk;

(c) continued access may expose confidential information;

(d) continued access could reasonably be expected to harm the Project or its contributors;

(e) continued access is no longer appropriate for operational, legal, or administrative reasons; or

(f) repository access is otherwise no longer in the best interests of the Project.

Nothing in this Agreement guarantees continued access to the Shared Source Program.

8.6 Repository Administration

HytaleModding may:

(a) reorganize repositories;

(b) rename repositories;

(c) archive repositories;

(d) migrate repositories;

(e) modify repository permissions;

(f) require migration to different authentication systems; or

(g) discontinue any Repository at any time.

8.7 Monitoring

To protect the Shared Source Program, HytaleModding may log repository access, authentication events, repository activity, audit events, and other security-related information.

Such monitoring shall be performed in accordance with applicable law and HytaleModding's Privacy Policy, if any.

9. Confidentiality

9.1 Confidential Information

Unless expressly designated otherwise by HytaleModding, the Work constitutes confidential and proprietary information.

The confidentiality obligations contained in this Agreement apply regardless of whether the Work is protected by copyright, trade secret law, or any other legal doctrine.

9.2 Confidentiality Obligations

You shall:

(a) keep the Work confidential;

(b) protect the Work using at least reasonable care;

(c) use the Work solely for purposes authorized under this Agreement;

(d) prevent unauthorized access to the Work; and

(e) immediately notify HytaleModding if you become aware of any unauthorized disclosure.

9.3 Non-Disclosure

Except as expressly authorized by HytaleModding, you shall not:

(a) publish the Work;

(b) disclose the Work to unauthorized persons;

(c) provide copies of the Work;

(d) publicly display the Work;

(e) upload the Work to public websites;

(f) publish screenshots containing confidential implementation details;

(g) publish design documentation or internal discussions that disclose confidential portions of the Work.

9.4 Public Repositories

You shall not publish the Work, in whole or in substantial part, within:

(a) public Git repositories;

(b) public mirrors;

(c) public archives;

(d) public package registries;

(e) paste services;

(f) code sharing platforms; or

(g) any publicly accessible storage service.

9.5 Private Storage

You may maintain local or private copies of the Work only where reasonably necessary to exercise the rights granted under this Agreement.

All such copies remain subject to this Agreement.

9.6 Exceptions

The confidentiality obligations of this Section do not apply to information that:

(a) has been intentionally released publicly by HytaleModding without confidentiality restrictions;

(b) becomes publicly available through lawful means not involving a breach of this Agreement;

(c) is independently developed without use of the Work; or

(d) must be disclosed pursuant to applicable law or a lawful court order, provided that you promptly notify HytaleModding where legally permitted.

9.7 Return or Destruction

Upon termination of this Agreement or upon request by HytaleModding, you shall promptly destroy or permanently delete confidential copies of the Work, except where retention is required by applicable law.

9.8 Survival

The confidentiality obligations contained in this Section survive termination of this Agreement for so long as the applicable information remains confidential.

10. Distribution

10.1 General Rule

Except as expressly permitted by this Agreement or by prior written authorization from HytaleModding, you shall not distribute any portion of the Work.

10.2 Internal Distribution

You may distribute portions of the Work only to Authorized Users who:

(a) possess lawful access to the Shared Source Program;

(b) are bound by this Agreement or another written agreement approved by HytaleModding; and

(c) require access for legitimate Project-related activities.

10.3 Public Distribution

Public distribution of the Work is prohibited unless HytaleModding has expressly authorized such distribution in writing.

Authorization may be limited to specific repositories, files, branches, releases, or materials.

10.4 Derivative Works

Nothing in this Agreement prohibits you from distributing software independently created by you that merely interoperates with Shard, provided such software:

(a) does not contain protected portions of the Work;

(b) does not disclose confidential implementation details;

(c) does not include Hypixel Materials except where separately authorized; and

(d) otherwise complies with this Agreement.

10.5 Build Artifacts

Unless expressly authorized, executable builds, compiled binaries, generated source, packaged distributions, documentation generated from confidential materials, and similar outputs derived from the Work shall be treated as part of the Work for purposes of this Agreement.

10.6 Repository Forks

Public forks of any Repository are prohibited.

Private forks may be created only where permitted by HytaleModding or by repository permissions established by HytaleModding.

10.7 Attribution

Where distribution is expressly authorized, you shall retain all copyright notices, attribution notices, license notices, and proprietary notices contained within the Work.

You shall not remove, obscure, or modify such notices except where expressly authorized by HytaleModding.

10.8 No Implied Distribution Rights

Nothing in this Agreement shall be interpreted as granting a general right to publish, redistribute, mirror, archive, sublicense, commercialize, or otherwise make the Work available to third parties.

11. Contributions

11.1 Application

This Section governs every Contribution you submit to HytaleModding for inclusion in the Work, regardless of the method by which the Contribution is submitted.

This Section applies to Contributions submitted through repositories, pull requests, patches, issue trackers, code reviews, email, messaging platforms, documentation systems, or any other communication channel designated by HytaleModding.

11.2 Voluntary Contributions

All Contributions are submitted voluntarily.

Nothing in this Agreement obligates you to submit any Contribution.

Nothing in this Agreement obligates HytaleModding to review, evaluate, test, merge, publish, maintain, support, or otherwise use any Contribution.

11.3 Submission Requirements

You are responsible for ensuring that every Contribution:

(a) complies with this Agreement;

(b) complies with any applicable Contributor License Agreement;

(c) complies with repository policies and contribution guidelines;

(d) is suitable for inclusion within the Work; and

(e) does not knowingly introduce malicious functionality, security vulnerabilities, or unlawful material.

11.4 Contributor License Agreement

Ownership, assignment, licensing, and other rights relating to Contributions shall be governed by the applicable Contributor License Agreement executed between you and HytaleModding.

Nothing in this Agreement supersedes an applicable Contributor License Agreement except where expressly stated.

If no Contributor License Agreement exists, submission of a Contribution shall not by itself transfer ownership of that Contribution unless otherwise required by applicable law.

11.5 Third-Party Materials

You shall not knowingly include Third-Party Materials within a Contribution unless:

(a) you possess sufficient legal rights to submit those materials;

(b) any applicable license permits such submission;

(c) you disclose the origin of those materials to HytaleModding before or at the time of submission; and

(d) incorporation of those materials will not impose licensing obligations upon HytaleModding or the Work that are inconsistent with the Project's licensing model.

11.6 Copyleft Software

Unless expressly approved in writing by HytaleModding, you shall not submit Contributions incorporating software licensed under terms that would require the Work, or any substantial portion thereof, to be licensed, distributed, or disclosed under reciprocal or copyleft licensing terms.

Examples include, without limitation, the GNU General Public License (GPL), Affero GPL (AGPL), and similar licenses imposing reciprocal source disclosure obligations.

This Section does not prohibit submission of software distributed under permissive licenses such as the MIT License, BSD Licenses, ISC License, Apache License 2.0, or other licenses approved by HytaleModding.

11.7 No Obligation to Merge

Acceptance of a pull request, patch, or other submission for review does not obligate HytaleModding to merge, publish, release, or otherwise incorporate that Contribution into the Work.

HytaleModding may reject, modify, rewrite, supersede, replace, or remove any Contribution at its sole discretion.

11.8 Contributor Representations

You represent and warrant that, at the time each Contribution is submitted:

(a) you possess sufficient rights to submit the Contribution;

(b) submission of the Contribution does not violate any agreement binding upon you;

(c) to the best of your knowledge, the Contribution does not intentionally infringe any Intellectual Property Rights of another person;

(d) you have not knowingly included malicious software, malware, ransomware, spyware, backdoors, credential theft mechanisms, or other intentionally harmful functionality;

(e) you have accurately disclosed all material Third-Party Materials included within the Contribution; and

(f) the Contribution complies with applicable law.

11.9 Security Reporting

If you discover a material security issue affecting the Work, you agree to make reasonable efforts to report that issue privately to HytaleModding before publicly disclosing it.

Nothing in this Section requires responsible disclosure where prohibited by applicable law.

11.10 Feedback

Any ideas, suggestions, recommendations, feature requests, comments, or other feedback that do not constitute Contributions may be used by HytaleModding without restriction unless otherwise agreed in writing.

Nothing in this Agreement obligates HytaleModding to implement any feedback.

11.11 No Compensation

Unless otherwise agreed in writing, Contributions are provided without expectation of compensation.

Submission of a Contribution does not create any employment relationship, partnership, agency relationship, joint venture, fiduciary relationship, or entitlement to compensation.

11.12 Project Governance

Acceptance of a Contribution does not entitle a contributor to any governance role, repository permission, maintainership, voting right, or decision-making authority within HytaleModding.

Repository permissions remain subject to HytaleModding's governance policies.

11.13 Contributor Records

HytaleModding may retain records relating to Contributions, including commit history, authorship information, code review discussions, issue tracker history, and repository metadata, for purposes of maintaining the Project, complying with legal obligations, preserving project history, and administering the Shared Source Program.

11.14 Survival

Sections relating to ownership, representations, warranties, contributor obligations, and applicable Contributor License Agreements survive termination of this Agreement to the extent necessary to give effect to their intended purpose.

12. Compliance

12.1 Compliance with Law

You shall exercise all rights granted under this Agreement in compliance with applicable laws, regulations, judicial orders, export control laws, sanctions programs, and governmental requirements.

12.2 Export Controls

You acknowledge that the Work may be subject to export control or sanctions laws in one or more jurisdictions.

You agree not to export, re-export, transfer, or otherwise provide the Work in violation of applicable law.

12.3 No Unlawful Use

You shall not use the Work in connection with unlawful activity or for any purpose prohibited by applicable law.

12.4 Security

You shall implement reasonable administrative, physical, and technical safeguards appropriate to protect confidential copies of the Work from unauthorized access, disclosure, modification, or destruction.

12.5 Cooperation

Where reasonably necessary to investigate suspected violations of this Agreement, you agree to cooperate with HytaleModding by providing information reasonably requested regarding your use of the Work, subject to applicable law.

12.6 Audit of Repository Activity

Nothing in this Agreement obligates HytaleModding to audit your systems or development environment.

However, HytaleModding may review repository activity, pull requests, commit history, issue tracker activity, and other Project records maintained by HytaleModding for purposes of enforcing this Agreement and protecting the Shared Source Program.

13. Term and Termination

13.1 Term. This Agreement becomes effective upon your acceptance under Section 2 and remains in effect until terminated in accordance with this Agreement.

13.2 Termination by You. You may terminate this Agreement at any time by: (a) ceasing all access to the Work; (b) discontinuing participation in the Shared Source Program; and (c) complying with Section 13.6. Termination by you does not affect obligations intended to survive termination.

13.3 Termination by HytaleModding. HytaleModding may suspend or terminate this Agreement, revoke repository access, or otherwise restrict your rights under this Agreement immediately upon written or electronic notice if: (a) you breach this Agreement; (b) you breach any applicable Contributor License Agreement; (c) your repository access has been compromised; (d) HytaleModding reasonably believes continued access presents a legal, operational, or security risk; (e) required by applicable law; (f) continued participation would reasonably be expected to harm the Project or its contributors; or (g) HytaleModding permanently discontinues the Shared Source Program. Nothing in this Agreement requires HytaleModding to continue operating the Shared Source Program.

13.4 Automatic Termination. Without limiting Section 13.3, the license granted by this Agreement automatically terminates if you materially violate this Agreement. Automatic termination does not limit any other remedies available to HytaleModding.

13.5 Effect of Termination. Upon termination of this Agreement: (a) every license granted under this Agreement immediately ceases; (b) your status as an Authorized User immediately terminates; (c) you shall immediately cease accessing the Work; (d) you shall cease distributing the Work; (e) you shall destroy or permanently delete confidential copies of the Work in your possession or control unless retention is required by applicable law; and (f) you shall discontinue any activity requiring authorization under this Agreement.

13.6 Surviving Provisions. Termination of this Agreement does not affect provisions which by their nature are intended to survive termination, including but not limited to provisions concerning: ownership; confidentiality; contributions; intellectual property; limitations of liability; disclaimers; indemnification; governing law; dispute resolution; interpretation; and general contractual provisions.

14. Disclaimer

14.1 THE WORK IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HYTALEMODDING DISCLAIMS ALL WARRANTIES, CONDITIONS, REPRESENTATIONS, AND GUARANTEES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

14.2 No Warranty. WITHOUT LIMITATION, HYTALEMODDING DOES NOT WARRANT THAT: (a) THE WORK IS COMPLETE; (b) THE WORK IS ACCURATE; (c) THE WORK IS ERROR-FREE; (d) THE WORK IS SECURE; (e) THE WORK IS FREE OF DEFECTS; (f) THE WORK WILL CONTINUE TO BE AVAILABLE; (g) THE WORK IS SUITABLE FOR ANY PARTICULAR PURPOSE; OR (h) ANY DEFECT WILL BE CORRECTED.

14.3 Use at Your Own Risk. YOU ASSUME ALL RISK ARISING FROM YOUR ACCESS TO OR USE OF THE WORK. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THE SUITABILITY OF THE WORK FOR YOUR INTENDED PURPOSES.

14.4 Applicable Law. Some jurisdictions do not permit the exclusion of certain warranties. Where such laws apply, the foregoing disclaimers shall apply only to the maximum extent permitted by applicable law.

15. Limitation of Liability

15.1 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYTALEMODDING, ITS DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, MAINTAINERS, CONTRIBUTORS, ADVISORS, AFFILIATES, LICENSORS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY, INDIRECT DAMAGES, INCIDENTAL DAMAGES, SPECIAL DAMAGES, CONSEQUENTIAL DAMAGES, * EXEMPLARY DAMAGES, PUNITIVE DAMAGES, LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, BUSINESS INTERRUPTION, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, ARISING FROM OR RELATED TO THIS AGREEMENT OR THE WORK.

15.2 Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF HYTALEMODDING ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (US $100.00). IF APPLICABLE LAW DOES NOT PERMIT SUCH A LIMITATION, LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15.3 Essential Basis. YOU ACKNOWLEDGE THAT THE DISCLAIMERS AND LIMITATIONS CONTAINED IN THIS AGREEMENT FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.

16. Indemnification

16.1 Indemnity. To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless HytaleModding, The Modding Foundation, their directors, officers, volunteers, maintainers, contributors, agents, licensors, successors, and assigns from and against any third-party claims, actions, liabilities, judgments, settlements, damages, losses, costs, and reasonable attorneys' fees arising from or relating to: (a) your breach of this Agreement; (b) your misuse of the Work; (c) your violation of applicable law; (d) Your Original Works; (e) your Contributions; or (f) your infringement of any third-party rights.

17. Governing Law and Dispute Resolution

17.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to conflict of laws principles.

17.2 Venue. Unless otherwise required by applicable law, any dispute arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located within the State of North Carolina. Each party irrevocally submits to the jurisdiction of those courts.

17.3 Waiver of Jury Trial. To the extent permitted by applicable law, each party knowingly and voluntarily waives any right to trial by jury with respect to disputes arising from this Agreement.

17.4 Injunctive Relief. You acknowledge that unauthorized disclosure of the Work may cause irreparable harm for which monetary damages alone would be inadequate. Accordingly, HytaleModding may seek injunctive or equitable relief, without the necessity of posting bond, in addition to any other remedies available at law or in equity.

17.5 Severability of Remedies. Each remedy provided under this Agreement is cumulative and shall not limit any other remedy available under applicable law.

18. General Provisions

18.1 Entire Agreement. This Agreement, together with any applicable Contributor License Agreement and any documents expressly incorporated by reference, constitutes the entire agreement between the parties concerning the Shared Source Program and supersedes all prior understandings relating to the subject matter of this Agreement.

18.2 Severability. If any provision of this Agreement is determined to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

18.3 No Waiver. Failure by HytaleModding to enforce any provision of this Agreement shall not constitute a waiver of any future enforcement of that provision or any other provision.

18.4 Assignment. You may not assign, delegate, sublicense, or otherwise transfer this Agreement or any rights granted under it without HytaleModding's prior written consent. HytaleModding may assign this Agreement in connection with a merger, reorganization, transfer of the Project, or similar transaction.

18.5 Force Majeure. Neither party shall be liable for delays or failures resulting from events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, failures of communication systems, governmental actions, cyberattacks, widespread internet outages, or failures of third-party infrastructure.

18.6 Electronic Acceptance. You agree that electronic acceptance of this Agreement, including acceptance through a website, repository interface, authentication flow, or similar electronic mechanism, has the same legal effect as a handwritten signature where permitted by applicable law.

18.7 Notices. HytaleModding may provide notices under this Agreement through repositories, email, project websites, source control platforms, authentication systems, or other reasonable electronic means.

18.8 Relationship of the Parties. Nothing in this Agreement creates any partnership, joint venture, employment relationship, agency relationship, fiduciary relationship, or franchise between the parties.

18.9 Headings. Section headings are included for convenience only and shall not affect the interpretation of this Agreement.

18.10 Amendments. No amendment, modification, or waiver of this Agreement shall be effective except as expressly permitted by Section 2.4 or otherwise agreed in writing by HytaleModding where required by applicable law.
